Terms of Service

Last updated: October 8, 2026

The rules for using Nimbase, connecting your team's knowledge, and choosing the services that process it.

About these terms

Nimbase is operated by Bach Tran, an individual based in Australia ("Nimbase", "we", "us"). These terms cover our website and hosted service, including the dashboard, API, CLI connections, and MCP access. By creating an account or using the service, you agree to these terms. If you use Nimbase for an organisation, you must have authority to act for it.

A separate written agreement with us takes priority where it conflicts with these terms. Open-source software is governed by its applicable licence; these terms do not replace rights granted by that licence.

Accounts and workspace access

Provide accurate account information and keep passwords, API credentials, and authorised sessions secure. You are responsible for how you configure your workspace, invite members, grant project access, and authorise agents or other tools. Tell us promptly if you suspect unauthorised access. Organisation administrators manage workspace access; removing a member does not necessarily remove content that belongs to the organisation.

Acceptable use

Use Nimbase lawfully and only connect or upload content you are entitled to use. Do not bypass access controls, access another person's data without permission, distribute malware, disrupt the service, or infringe privacy or intellectual property rights. Do not upload credentials or personal information unless you have the necessary authority and the service is appropriate for that information.

Your content and ownership

You and your licensors retain ownership of the content you provide. You give us permission to host, copy, index, transform, and transmit that content as needed to deliver the features you use, including search, memory, and authorised integrations. This permission is limited to operating the service and handling content under our Privacy Policy.

You are responsible for obtaining permissions from the people and organisations whose information you connect. Nimbase's software, branding, and website remain subject to our rights and the rights of their respective owners.

AI, memory, and integrations

Nimbase supports different models, memory providers, and connected services. When you enable one, relevant content may be sent to that provider according to your workspace configuration and data policy. Providers have their own terms, privacy practices, charges, and availability. Review them before authorising processing, especially for confidential or personal information.

Search results and AI-generated answers may be incomplete, outdated, or incorrect. Check source material and use human judgement before acting on an answer. Nimbase does not provide professional advice or guarantee any particular result from an AI model or memory provider.

Fees and cancellation

If you purchase a paid service, its price, billing period, usage basis, taxes, and any renewal arrangements will be set out in the offer or agreement you accept. Third-party model or memory charges may be separate, particularly when you use your own provider account. Signing up alone does not authorise an undisclosed charge.

Contact us to cancel a paid service or raise a billing issue. Any cancellation date, prepaid balance, or refund is handled under the offer you accepted and applicable law. We will give advance notice of price changes before they apply to a future billing period, so you can choose whether to continue.

Availability and changes

We aim to provide a reliable service, but maintenance, failures, or changes to third-party services can interrupt features. Unless agreed separately, we do not promise uninterrupted availability or a specific service level. We will give reasonable notice of material changes that reduce an agreed paid service, where practicable, and discuss available options with affected customers. Keep your own copies of important source material.

Suspension and ending service

You can stop using Nimbase and contact us to request account closure or deletion. We may restrict access where reasonably necessary to address misuse, a security threat, unpaid agreed fees, or a legal requirement. Where practicable, we will explain the reason and give you an opportunity to resolve it. Immediate action may be necessary for urgent security or legal issues. Content retention and deletion, including copies held by external providers, are described in our Privacy Policy.

Consumer rights and responsibility

Nothing in these terms excludes or limits rights, guarantees, or remedies that cannot lawfully be excluded, including those under the Australian Consumer Law. Each party remains responsible for its conduct under applicable law. Statements about AI accuracy, availability, or third-party services do not remove those rights or excuse us from obligations that the law places on us.

Updates, disputes, and contact

These terms are governed by the laws of Australia, subject to any mandatory protections that apply where you live. If a dispute arises, contact us so we can try to resolve it; this does not prevent you from exercising legal rights or seeking urgent relief.

We may update these terms as the service changes. We will publish the new version here and give reasonable advance notice of material changes through the service or email where practicable. Changes apply prospectively. If you do not accept a material change, contact us about ending your service before it takes effect.
